THIS END USER TERMS OF USE (“TERMS OF USE”) IS A LEGAL AGREEMENT BETWEEN YOU (“USER” OR “YOU”) AND IATA, GOVERNING YOUR ACCESS TO AND USE OF TIMATIC DATA AND RELATED TIMATIC SERVICES (“DATA”). BY ACCESSING AND USING THE DATA, USER AGREES TO BE BOUND BY THE TERMS OF USE. IATA RESERVES THE RIGHT TO MODIFY THE TERMS OF USE AT ANY TIME. USER’S CONTINUED USE OF THE DATA INDICATES ACCEPTANCE OF THE MODIFIED TERMS OF USE. FOR CLARIFICATION PURPOSES, THE DATA IS LICENSED TO YOU ON THE TERMS HEREIN, IATA AND ITS THIRD-PARTY SUPPLIERS REMAIN THE OWNERS OF THE DATA AT ALL TIMES.
1. Grant of License
Subject to the terms and conditions set out herein, IATA grants to You a limited, non-exclusive, non-transferable license to access and use the Data solely for internal and personal purposes. The Terms of Use shall govern any content, materials or services accessible from or used by You as well as any upgrades provided to You that replace or supplement the license to the Data. The license granted to You is solely for your personal, internal and non-commercial purposes and strictly in accordance with the terms of this Agreement.
2. License Restrictions
You agree that You shall not:
- Use the Data for any unlawful purpose or in violation of applicable laws or regulations:
- Reverse engineer, modify, dissemble, lease, rent, transmit, re-transmit, sell, sub-license or reproudice the Data or create any derivative works based on the Data, whether for commercial or non-commercial purposes;
- Sell, sub-license, distribute or otherwise commercially exploit the Data without prior written consent;
- Use automated systems to access the Data without IATA’s consent;
- Alter or obscure any proprietary notices in respect of the Data.
3. Content, Third Party Content and Links
As part of the provision of the Data, IATA may use its own resources or those of third parties or a combination of such resources in the preparation and presentation of the Data. The IATA Timatic Information contained in the Data may provide links to other Internet sites or resources ("third party links"). IATA is providing such third party links to You only as a convenience, and the inclusion of any link to such sites does not imply endorsement by IATA of those sites. You acknowledge and understand that IATA has no control over external resources and sites, and agree that IATA is not responsible for the availability of such external resources and sites, and does not endorse and is not responsible or liable for any content, advertising, products, or other materials on or available from such external resources and sites. IATA may terminate the availability of such external resources and sites through links on its web site at any time. IATA will not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, products, goods or services available on or through these channels.
4. Intellectual Property Rights
The Data made available includes but is not limited to text, data, graphics, and icons and shall constitute copyrighted materials owned by IATA or other third parties. You must not remove, overprint, or deface any notice of copyright, trademark, logo, legend, or other notice of ownership from any originals or copies of software or information obtained as part of the access to the Data. Any unauthorized use of any materials contained within the Data may violate copyright laws, trademark laws, the laws of privacy and publicity, and communications regulations and statutes for which You will remain responsible.
5. Disclaimer of Warranties and Limitation of Liability
THE DATA IS REGULARLY REVIEWED AND UPDATED IN ACCORDANCE WITH CHANGES IN GOVERNMENT LAWS, REGULATIONS AND REQUIREMENTS. WHILE EVERY EFFORT IS MADE TO ENSURE THE ACCURACY AND QUALITY OF THE DATA PROVIDED, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE DATA IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. IATA HEREBY DISCLAIMS ALL WARRANTIES AND CONDITIONS WITH RESPECT TO THE DATA, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, QUIET ENJOYMENT, NON-INFRINGEMENT OF THIRD-PARTY RIGHTS AND FREEDOM FROM VIRUSES OR OTHER HARMFUL COMPONENTS. IATA MAKES NO GUARANTEE THAT ACCESS TO THE DATA OR ANY LINKED THIRD-PARTY SITES WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED, BUT IT WILL TAKE ALL NECESSARY STEPS TO RECTIFY FAULT(S) AS SOON AS REASONABLY PRACTICABLE. FURTHER NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY IATA OR IATA AUTHORISED REPRESENTATIVES SHALL CREATE A WARRANTY.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT YOUR USE OF THE DATA IS AT YOUR SOLE RISK, AND THAT YOU DOWNLOAD OR OTHERWISE OBTAIN ANY MATERIAL THROUGH THE DATA AT YOUR OWN DISCRETION AND RISK. YOU ARE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR DEVICE, SYSTEMS, OR DATA THAT RESULTS FROM SUCH USE. COMPLIANCE WITH THE INFORMATION CONTAINED IN THE DATA DOES NOT GUARANTEE ENTRY INTO ANY COUNTRY OR BOARDING ON ANY CARRIER. YOU ACKNOWLEDGE THAT ANY FINAL ENTRY DECISIONS REST EXCLUSIVELY WITH IMMIGRATION OR OTHER GOVERNMENT OFFICIALS, AND IATA DISCLAIMS ANY RESPONSIBILITY IN THIS REGARD.
IATA SHALL NOT BE HELD LIABLE FOR ANY AND ALL LOSSES OR DAMAGES CAUSED BY ANY ERRORS, OMISSIONS OR MISINTERPRETATION OF THE CONTENTS OF THE DATA AND EXPRESSLY DISCLAIMS ANY AND ALL LIABILITY IN RESPECT OF ANYTHING DONE OR OMMITTED BY ANY PERSON IN RELIANCE ON THE CONTENTS OF THE DATA. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL IATA BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING FROM OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE DATA, OR YOUR RELIANCE ON ANY INFORMATION CONTAINED THEREIN, EVEN IF IATA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE FOREGOING LIMITATIONS WILL APPLY EVEN IF THE ABOVE STATED FAILS OF ITS ESSENTIAL PURPOSE.
YOU AGREE TO INDEMNIFY AND HOLD HARMLESS IATA FROM AND AGAINST ANY AND ALL CLAIMS, LOSSES, LIABILITIES, DAMAGES, COSTS, OR EXPENSES (INCLUDING REASONABLE LEGAL FEES) ARISING OUT OF OR RELATED TO YOUR USE OF THE DATA OR ANY VIOLATION OF THIS AGREEMENT.
6. Confidential Information
Each party agrees to maintain the confidentiality of all information disclosed by the other party in relation to the provision and use of the Data whether designated as confidential or reasonably understood to be confidential due to the nature of the information and the circumstances of disclosure (“Confidential Information”). Confidential Information shall be used to fulfil obligations under the Terms of Use and protected with no less diligence than that used for one’s own confidential information but no less than reasonable care. This excludes information which is publicly known, received from third parties without breach, or independently developed. If legally compelled to disclose Confidential Information, the receiving party must notify the disclosing party promptly and cooperate with any effort to contest the disclosure. Upon termination of this EULA, Confidential Information must be returned or destroyed as directed by the disclosing party.
7. Termination
The Terms of Use is effective until terminated by IATA. IATA may, in its sole and absolute discretion, at any time and for any reason, suspend or terminate this license and the rights provided to You without or without prior notice. Further if You fail to comply with any terms or conditions of this license, then any and all rights provided to You shall terminate automatically, without any notice or other action by IATA. Upon termination of the license, You shall cease all use of the Data.
8. Maintenance and Updates
IATA shall not be obligated to provide any maintenance or support regarding the Data unless otherwise required under applicable laws and regulations.
9. Privacy
IATA is committed to maintaining the privacy of those using its web sites and has a privacy policy that governs the treatment of any personal information received through your usage of IATA Timatic based services. Your use of the Data is subject to IATA's privacy policy, which can be accessed via this link.
10. Severability
If a court of competent jurisdiction finds any provision of the Terms of Use to be invalid, the parties nevertheless agree that the court should endeavour to give effect to the parties' intentions as reflected in the provision, and the other provisions of the Terms of Use remain in full force and effect.
11. Titles are for convenience only
The section titles in the Terms of Use are for convenience only and have no legal or contractual effect.
12. No Waiver
The failure of IATA to exercise or enforce any right or provision of the Terms of Use does not constitute a waiver of such right or provision.
13. Entire Agreement
The Terms of Use shall constitute the entire agreement between You and IATA regarding your use of the Data and supersedes all prior and contemporaneous written or oral agreements between You and IATA.
14. Export Controls
The Data may be subject to export control laws and regulations of the United States, the European Union and other national or international regulations, including the Export Control Laws. Both parties will comply with all export control laws and will not re-export, or transfer any products, software, or technology subject to those laws. Neither party will disclose any software or technology to any person or territory contrary to those laws or regulations.
15. Dispute Resolution and Governing Law
These Terms of Use shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles. You agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with this Terms of Use or its subject matter or formation (including non-contractual disputes or claims).
